拍賣規(guī)則（中文終極版）

第一條 定義

在本規(guī)則中，除非另有說明，下列術(shù)語具有如下含義：

1. “本公司”指華岳國際拍賣（香港）有限公司；

2. “競買人”指經(jīng)本公司審核並取得競拍資格的自然人或法人；

3. “買受人”指最終競得拍賣標(biāo)的的競買人；

4. “拍賣標(biāo)的”指在拍賣活動中公開出售的物品；

5. “落槌價(jià)”指拍賣師落槌確認(rèn)成交時(shí)的價(jià)格；

6. “傭金”指買受人應(yīng)向本公司支付的服務(wù)費(fèi)用。

第二條 適用範(fàn)圍

本規(guī)則適用於本公司舉辦的所有拍賣活動。凡參與本公司拍賣活動的各方，均視為已充分閱讀、理解並同意遵守本規(guī)則及相關(guān)拍賣須知。

第三條 法律與合規(guī)

1. 本公司不對涉及禁止出境的文物或拍賣標(biāo)的作特別標(biāo)識。

2. 競買人應(yīng)自行確認(rèn)拍賣標(biāo)的是否符合相關(guān)法律法規(guī)及進(jìn)出口要求。

3. 如涉及文物出境，買受人須依法自行辦理相關(guān)審批手續(xù)。

4. 因未履行合規(guī)義務(wù)產(chǎn)生的風(fēng)險(xiǎn)與責(zé)任，由買受人自行承擔(dān)。

第四條 拍品狀態(tài)與免責(zé)

1. 所有拍賣標(biāo)的均以“現(xiàn)狀”進(jìn)行拍賣。

2. 本公司對拍賣標(biāo)的的真?zhèn)?、年代、作者、材質(zhì)、品質(zhì)、來源及價(jià)值不作任何明示或默示保證。

3. 本公司不承擔(dān)任何形式的瑕疵擔(dān)保責(zé)任。

4. 競買人應(yīng)在競拍前自行審慎判斷拍品狀況並承擔(dān)相應(yīng)風(fēng)險(xiǎn)。

第五條 競拍規(guī)則

1. 競買人須完成註冊及保證金繳納後方可參與競拍。

2. 競買人一經(jīng)出價(jià)，即視為不可撤回。

3. 本公司有權(quán)拒絕任何出價(jià)或取消競買資格。

4. 拍賣師對拍賣過程擁有最終裁量權(quán)。

第六條 成交與付款

1. 拍賣標(biāo)的以落槌為成交標(biāo)誌。

2. 買受人須在規(guī)定期限內(nèi)支付全部款項(xiàng)，包括：

    * 落槌價(jià)

    * 傭金

    * 稅費(fèi)及其他相關(guān)費(fèi)用（如有）

3. 所有款項(xiàng)須按照本公司指定方式支付。

第七條 風(fēng)險(xiǎn)與所有權(quán)轉(zhuǎn)移

1. 拍賣標(biāo)的自落槌成交之時(shí)起，其風(fēng)險(xiǎn)即轉(zhuǎn)移至買受人。

2. 在買受人未付清全部款項(xiàng)前，拍賣標(biāo)的所有權(quán)仍歸本公司或委託人所有。

第八條 違約責(zé)任

如買受人未按期履行付款義務(wù)，本公司有權(quán)：

1. 扣除全部保證金；

2. 解除成交；

3. 重新拍賣該拍賣標(biāo)的；

4. 向買受人追償再次拍賣差價(jià)、傭金損失及相關(guān)費(fèi)用；

5. 限制其參與本公司後續(xù)拍賣活動。

第九條 保證金制度

9.1 繳納

保證金為競買人參與拍賣前繳納的履約擔(dān)保資金，具體金額及繳納方式以拍賣公告或系統(tǒng)顯示為準(zhǔn)。

9.2 退還

在符合以下條件時(shí)，保證金將原路無息退還：

1. 未競得拍品；

2. 已競得拍品並按時(shí)足額付款；

3. 交易未完成或被取消。

退還時(shí)間為拍賣結(jié)束後1–15個(gè)工作日內(nèi)。

9.3 扣除

如買受人違約未付款，保證金將被全部扣除。

9.4 抵扣

保證金可自動抵扣拍品款項(xiàng)：

* 不足部分由買受人補(bǔ)足；

* 多餘部分無息退還。

第十條 發(fā)票

1. 買受人須於結(jié)清款項(xiàng)當(dāng)月內(nèi)申請開具發(fā)票；

2. 發(fā)票抬頭須與買受人名稱一致；

3. 發(fā)票一經(jīng)開具，不得更改或重開。

第十一條 包裝、運(yùn)輸與出境

1. 拍賣標(biāo)的之包裝、運(yùn)輸及保險(xiǎn)由買受人自行承擔(dān)風(fēng)險(xiǎn)及費(fèi)用；

2. 本公司可提供協(xié)助，但不承擔(dān)相關(guān)責(zé)任；

3. 涉及文物出境的，由買受人自行辦理相關(guān)手續(xù)。

第十二條 不可抗力

因不可抗力導(dǎo)致拍賣無法進(jìn)行或交易無法履行的，本公司不承擔(dān)責(zé)任。

第十三條 爭議解決

本規(guī)則適用香港特別行政區(qū)法律。因本規(guī)則產(chǎn)生的爭議，提交香港有管轄權(quán)的法院或仲裁機(jī)構(gòu)解決。

第十四條 最終解釋權(quán)

本規(guī)則的最終解釋權(quán)歸本公司所有。

Auction Terms & Conditions (Final English Version)

1. Definitions

In these Terms and Conditions:

1. “Company” means Huayue International Auction (Hong Kong) Limited;

2. “Bidder” means any individual or entity approved to participate in the auction;

3. “Buyer” means the successful Bidder;

4. “Lot” means any item offered for sale;

5. “Hammer Price” means the final bid accepted by the auctioneer;

6. “Buyer’s Premium” means the commission payable by the Buyer.

2. Scope

These Terms apply to all auctions conducted by the Company. Participation in any auction constitutes full acceptance of these Terms.

3. Legal Compliance

1. The Company does not identify Lots subject to export restrictions.

2. Bidders are responsible for ensuring compliance with all applicable laws and regulations.

3. Buyers shall obtain all necessary export permits at their own expense.

4. All risks arising from non-compliance shall be borne by the Buyer.

4. Condition & Disclaimer

1. All Lots are sold “as is”.

2. The Company makes no warranties as to authenticity, age, attribution, condition, provenance, or value.

3. No warranty of any kind is provided.

4. Buyers must rely on their own judgment before bidding.

5. Bidding

1. Bidders must complete registration and deposit payment prior to bidding.

2. All bids are irrevocable once submitted.

3. The Company reserves the right to refuse any bid.

4. The auctioneer has absolute discretion over the bidding process.

6. Sale & Payment

1. The fall of the hammer constitutes a binding sale.

2. The Buyer must pay within the specified period:

    * Hammer Price

    * Buyer’s Premium

    * Applicable taxes and fees

1. Payments must be made in accordance with the Company’s instructions.

7. Risk & Title

1. Risk passes to the Buyer upon the fall of the hammer.

2. Title shall not pass until full payment is received.

8. Default

If the Buyer fails to pay:

1. The deposit may be forfeited;

2. The sale may be cancelled;

3. The Lot may be resold;

4. The Buyer shall be liable for any deficiency and costs;

5. Future bidding privileges may be restricted.

9. Deposit

9.1 Payment

The deposit serves as a guarantee of performance and shall be paid as required.

9.2 Refund

Deposits will be refunded (without interest) if:

* No successful bid is made;

* Payment is completed in full;

* The transaction is cancelled.

Refunds are processed within 1–15 working days.

9.3 Forfeiture

Deposits shall be forfeited in the event of default.

9.4 Application

Deposits may be applied toward the purchase price. Any surplus will be refunded; any shortfall must be paid.

10. Invoice

Invoices must be requested within the same month of payment and cannot be amended once issued.

11. Shipping & Export

Shipping, insurance, and export procedures are the Buyer’s responsibility. The Company may assist but assumes no liability.

12. Force Majeure

The Company shall not be liable for failure due to force majeure events.

13. Governing Law

These Terms shall be governed by the laws of Hong Kong.

14. Final Interpretation

The Company reserves the right of final interpretation.
